Description A boutique law firm specializing in emerging companies and venture capital (ECVC) is seeking a Corporate Paralegal to provide part-time support on a fully remote contract basis. This firm acts as outside general counsel to a wide range of startup clients, and the role offers meaningful exposure to venture financings, employment compliance, securities filings, and day-to-day legal operations in a fast-moving environment. Key Responsibilities: + Prepare and manage template-based contracts and form documents (e.g., NDAs, consulting agreements, offer letters) + Handle state and federal corporate and securities filings, including California blue sky filings + Support venture financings, corporate formations, and governance documentation + Assist with employment compliance documents and onboarding workflows + Organize and maintain data rooms and legal records in support of financings and diligence efforts + Manage document execution workflows, including e-signatures and template tracking + Provide general support across legal operations and paralegal functions as needed Requirements Qualifications: + 3+ years of corporate paralegal experience, ideally in a startup, ECVC, or emerging companies practice + Familiarity with venture financings, corporate governance, and employment compliance + Prior experience managing data rooms and diligence documentation preferred + Tech-savvy, with the ability to work independently in a remote, fast-paced environment + Strong organizational skills, attention to detail, and written communication + Experience with tools such as Carta, Diligent, DocuSign, or similar systems is helpful + Comfortable communicating with attorneys, internal stakeholders, and startup clients + Part-Time Contract: 15-20 hours/week (flexible based on workload) + Remote Work: Candidates can be based anywhere; California preferred but not required This is an excellent opportunity for a seasoned, independent paralegal who enjoys working closely with early-stage companies and supporting transactional workflows in a lean practice setting.
